Terms of Service

These Terms of Service (“Terms”) govern access to and use of the NEXOS platform, demos, trials, pilots, subscriptions, onboarding, and related services provided by Adyaya Solutions Private Limited (“NEXOS”, “we”, “us”).

Scope

These Terms apply when you access or use NEXOS software, workspaces, APIs made available to you, demo environments, trial or pilot access, or related support and onboarding services. Separate order forms, statements of work, or commercial agreements may also apply and will prevail over these Terms where they conflict.

Platform and product modules

NEXOS is a SaaS operating system for India’s logistics ecosystem. Product modules may include Courier & Co-loader OS for logistics operators and NEXOS Shipper Control for businesses that ship through multiple logistics partners. Module availability may vary by subscription, pilot scope, or implementation stage.

Customer responsibilities

• Provide accurate business, account, and contact information
• Ensure users accessing the platform are authorized and trained appropriately
• Maintain control of credentials and notify us of suspected unauthorized access
• Use the platform lawfully and only for permitted business purposes
• Ensure data uploaded or processed through NEXOS is collected and used lawfully by you
• Comply with applicable logistics, tax, privacy, and employment obligations in your operations

Our responsibilities

We will use reasonable efforts to provide access to subscribed or approved services, respond to support requests within reasonable channels, apply reasonable security practices for a SaaS platform of this stage, and maintain, improve, or update the platform as part of normal product operations.

Trials, pilots, and changes

Trials, demos, and pilots may be limited in duration, scope, users, modules, or data volume. We may modify, extend, suspend, or discontinue trial or pilot access at our discretion. Production rollout requires mutual confirmation of fitment, readiness, and commercial terms.

Payment and billing

Where a paid subscription applies, fees, billing cycles, taxes, and payment methods will be set out in the applicable commercial proposal or order form. Late or failed payment may result in suspension after reasonable notice, subject to applicable agreement terms.

Data and confidentiality

You retain ownership of business data you submit to NEXOS, subject to rights needed for us to host, process, back up, and provide the services. We process customer data to operate the platform, provide support, maintain security, and improve product functionality. Each party will protect confidential information received from the other using reasonable care.

Restrictions

You may not use NEXOS for unlawful activity, attempt unauthorized access, probe or test security without permission, reverse engineer the platform except where legally permitted, resell or sublicense access without written approval, or interfere with other customers or platform integrity.

Suspension and termination

We may suspend or terminate access for misuse, non-payment where applicable, legal or security risk, material breach, or where continued service is impracticable. You may stop using the service according to your agreement. Upon termination, access may end and data handling will follow the applicable agreement and privacy policy.

Third-party logistics disclaimer

NEXOS provides software for operating and controlling logistics workflows. We are not responsible for courier partner performance, delivery delays, third-party logistics failures, carrier network outages, or incorrect data entered by you or your users unless expressly agreed otherwise in writing.

Disclaimers

Except as expressly stated in a signed agreement, the platform and services are provided on an “as is” and “as available” basis without warranties of uninterrupted operation, error-free performance, or fitness for a particular purpose, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising out of or relating to the services will not exceed the fees paid by you for the services in the twelve months preceding the claim, or INR 50,000, whichever is lower, unless applicable law requires otherwise.

Governing law

These Terms are governed by the laws of India. Courts in India shall have jurisdiction, subject to applicable law.
